Customer: An individual or company that has purchased service(s) from SoM or from a SoM Associate via SoM.
SoM: This term may be used to represent Spotlight on Management Limited.
SoM Consultancy: The division of Spotlight on Management Limited that provides consultancy and related services to customers of Spotlight on Management Limited.
SoM Directory: The division of Spotlight on Management Limited that provides directory and related services to SoM associates.
SoM Associate: An individual or company that has registered for SoM Directory services, including directory entries and, where appropriate, agency services.
Spotlight on Management Limited: A company registered in England and Wales – registration number 02143338 – with its registered office at 30 Selwyn House, Selwyn Road, Eastbourne, East Sussex, BN21 2LF.
Visitor: An individual who browses the Spotlight website with or without purchasing.
The SoM website – www.spotlightonmanagement.com – is a public site. There is no restriction of access to information posted on it.
Visitors may browse the website without providing any personal information.
Information collected from potential and actual customers will be restricted to SoM and the service provider of choice. SoM will not, without the prior agreement of the Customer, release such details to another third party, unless legally required to do so. When entering into a contract with a SoM Associate, Customers are strongly advised to check their privacy policy. It may differ from SoM’s.
SoM Associates are responsible for ensuring that the information, which they provide for posting on the website (service, individual or company profiles), excludes any material they would not wish to be made public. SoM cannot be held responsible for information included erroneously, except in the event that SoM has posted details clearly not intended for that purpose.
SoM will not, without prior agreement of the Associate, release to third parties any SoM Associate’s details, except those explicitly provided for entry onto the SoM website, or when legally required to do so.
SoM will respect the confidentiality of all service transactions and content and expects Associates and Customers to do likewise.
SoM owns all intellectual property rights to the website’s concept, content, design and structure. Visitors may copy, print and distribute material from the site provided that no changes are made, all SoM branding and contact details remain in place, and it is done on a non-commercial basis.
All trade marks, trade names, logos and service descriptions are the property of SoM or its Associates. Their inclusion on the website cannot be construed as conferring any licence or right to their use by any third party.
By continuing to access information on the SoM website, visitors are deemed to have accepted the terms and conditions. SoM would appreciate notification, via the contact page, of any difficulty in accessing or navigating the site.
All website services are provided without warranty or guarantee unless specifically stated.
SoM requires that SoM Associates should offer via the SoM Directory website only services that are both legally compliant and legally described in all respects. Unless referring to services provided by SoM Consultancy, SoM accepts no responsibility for either the accuracy of information posted on the website or the nature or quality of the services provided. Nevertheless SoM reserves the right to edit or remove without explanation material it considers inappropriate. It also operates a quality code (see below).
Although service descriptions provide outlines of the services on offer, content varies widely across the range and may not be fully defined in the space available. More information is available from SoM or via the links with Company Associates.
Although Service Providers, except SoM Consultancy, are independent of SoM and responsible for their own quality of service and related insurance, SoM is dedicated to brokering an extensive range of top class services. Therefore, if a Customer is dissatisfied with either the standard of service delivered or its description on the website, then SoM wishes to be made aware of this.
Service delivery: In the case of a dispute between a Customer and a Service Provider SoM provides a limited mediation service.
The complaint must be fully described and submitted to SoM in writing via post or e-mail within 10 working days of the event in question or the first intimation of dissatisfaction with quality of service. In certain circumstances before pursuing an issue SoM may ask for a deposit. This would be refunded if the complaint proved justified.
If, after consulting both parties, SoM deems that a complaint is justified, SoM will guarantee the refund of up to 100% of the fee paid, depending upon the extent of the problem. Any claim for compensation beyond that must be pursued with the Service Provider. SoM reserves the right to remove from the website any Service Provider whose service quality is deemed to be seriously below the expected standard or is frequently falling short.
Service description: On receipt of a complaint about the clarity or accuracy of a service profile, SoM will discuss the issue with the Service Provider and, if appropriate, may request re-wording of the entry.
Services are available only in the geographic areas specified by individual service providers and following successful negotiations of timing, price and other conditions applicable to each service. SoM cannot guarantee to arrange any particular service at any specific time or location.
In the case of SoM Direct Associates, SoM will act as intermediary – potential customers should contact SoM. Where Company Associates quote in the directory their own contact details, potential customers should approach them directly.
SoM is dedicated to brokering throughout the UK an extensive range of top class business and personal development services suitable for senior executives, directors, owner-managers. Initially the range may be limited, while service providers are recruited. SoM welcomes notification of any specific requirements not yet available through the site.
To the best of its ability SoM will maintain the operational integrity and accessibility of the Spotlight on Management website, updating it regularly and taking reasonable steps to ensure that all information is currently accurate. However, SoM cannot accept responsibility for delays, defects or service failures outside its direct control or, therefore, for any related costs, loss of profit, or consequential losses arising from such problems.

SoM has adopted a Quality Code (see above) as a means of maintaining high quality standards and removing from the site any service providers who have been proven not to perform to the expected standard. Nevertheless, SoM Associates are independent and are responsible for their own service quality. Except in the case of SoM Consultancy, SoM accepts no responsibility beyond that described in the Quality Code.
If requested, SoM will (as far as it is able) advise customers on the choices of service and provider to meet their needs. Such advice is as unbiased and fair as possible and is given without guarantees.
SoM directory service is optimised when customers are clear and consistent when stating their requirements.
Many of the business services offered entail customer as well as provider obligations. These will be made clear within the context of negotiations around the provision of each service.
SoM aims to keep the charges for its website directory and agency services as economical as possible. This reflects in no way on the standard of the website, the level or quality of the services offered, or the website’s target audience.

Options include a standard registration package (comprising an individual or company profile and up to three service profiles), additional or repeat profiles at additional charge, and advertising slots on the SoM home page and other lead pages.

All charges are subject to value added tax at the current UK standard rate.
SoM reserves the right to change the structure and pricing at any time with one month’s notice.
SoM reserves the right not to accept directory entries for services which do not appear relevant to the website’s target audience.

It is SoM’s intention to apply a visitor access system that is as fair as possible to all parties. However, there will be a short-term delay before this is fully operational.
SoM reserves the right to change the directory structure at any time with one month’s notice. SoM does not anticipate making such a change without first consulting Associates.

SoM will enforce its Quality Code fairly and strictly in order to maintain the good reputation of all SoM Associates.
SoM will deal promptly and fairly with work opportunities for Direct Associates, including the issuing of invoices and the forwarding payments.
Where the SoM website features links to other websites, SoM does not endorse, and accepts no responsibility for, the content of those sites.
As independent business entities SoM Associates are responsible for their own conduct. They are expected to comply with all laws and regulations applicable to their business activities and to material posted on websites. SoM reserves the right to remove from the Spotlight website any Associate suspected of non-compliance.
SoM requires evidence of appropriate public liability and professional indemnity insurance.
SoM Associates are required to subscribe to the SoM Quality Code. They should describe their service offerings accurately and deliver them to the high standard expected by senior executives and company directors. SoM reserves the right to remove from the website any Service Provider whose service quality, upon investigation of a customer complaint, is deemed to be seriously below the expected standard or, as evidenced by a series of customer complaints, is frequently falling short of the expected standard.
SoM Associates should advise SoM if any Customer is unreasonably difficult to please, is abusive, or fails to provide an adequate and safe working environment.
SoM provides to Associates flyers advertising the SoM website. It requests that Associates help to publicise the site to the benefit of all participants.
A Direct Associate undertakes to deal only via SoM with customers introduced by SoM until at least one year after initial introduction. Failure on the part of any Company Associate to maintain regular monthly payments will result in removal of all relevant entries without prior notice. A standard set-up fee will be charged for reinstatement.
As a general rule SoM consultancy will provide specific customer services only until such time as other providers are available within a specific geographic area.
Where SoM wishes to continue to offer a particular customer service, this will be made clear and terms will be agreed between all providers of the service.
Customers purchasing SoM Consultancy services can be confident that every effort will be made to satisfy stated business requirements.

Individual/Company profiles are entered onto a dedicated web page in order of registration. They are accessed by scrolling, by use of the search facility, or by links from the service profiles.
Services are divided into a number of main categories, which may each comprise a number of sub-categories. SoM Associates have the choice of where to locate their service profiles.
Service profiles are arranged in order of registration. To provide fair exposure for all, the visitor access point will be randomly selected, so that on first access to the category or sub-category via the Services lead page, each entry gets an equal opportunity to be top of the list. The search facility may also be used at access specific services.
Sub-categories may not be applied initially. SoM reserves the right to apply (or add new) sub-categories at a later date, in which case Associates with services already listed in the main category will be given, with one month’s notice of the change, the choice of sub-category for their entry.
